Agent Terms of Use

These Terms of Use of Studee Ltd, and any documents referred to herein, set out the terms and conditions on which you are permitted to use our website, studee.com (our website) as an agent. By using our website, you agree to be bound by, and to comply with, these Terms of Use.

These Terms of Use are effective from 22nd January 2024.

If for any reason whatsoever you do not agree to these Terms of Use or do not wish to be bound by them, you must not access or use our website.

  2. 1.1. Studee operates the Studee.com website.

    1.2. Studee is a limited liability company incorporated in England and Wales (registered number 06842641 ). Our registered address is 15 The Woolmarket, Cirencester, Gloucestershire, GL7 2PR, England, United Kingdom. We may at any time, assign, charge, subcontract, transfer or deal in any other manner with all or any of our rights under the Agreement, and we may subcontract or delegate in any manner any or all of our obligations under the Agreement to any third party or agent.

  4. 2.1. In addition to these Terms of Use, your use of our website and the service you provide to students and us is also governed by the following documents, which you agree to be bound by when accessing and using our website.

      2.1.1. Our Terms of Use set out the terms and conditions on which all users of our website are permitted to use our website.

      2.1.2. Our Anti Bribery Policy serves as a cornerstone in upholding ethical standards for all agents and sub-agents. The policy outlines the parameters that guide your actions, emphasizing a steadfast commitment to preventing bribery and corruption. It is a criminal offense that will be committed under the Bribery Act 2010 if you offer, promise, give, request, receive, or agree to receive bribes.

      2.1.3 Our Code of Conduct Policy outlines our expectations for recruitment, promotion, assistance, and overall behavior we expect from you towards students and parents.

      2.1.4. Our Under 18’s & Safeguarding Policy is designed to ensure the safety and well-being of all prospective students under the age of 18, as well as vulnerable adults. This policy aligns with the United Nations Convention on the Rights of the Child, categorizing anyone under 18 as a child, irrespective of their country of origin or university destination.

      2.1.5. Our Ethical Advising Policy establishes the principles of professionalism and best practice when you advise international students. This policy serves as a guide to professional behavior in challenging situations, including ethical dilemmas.

      2.1.6. Our Document Fraud Policy ensures the integrity of all documents submitted by you in support of applications for admission, academic evaluations, or administrative processing. The policy mandates that all submitted documents must be true, accurate, and complete, prohibiting misrepresentations, omissions, alterations, or any form of deception.

      2.1.7. Our Data protection and data processing policy underscores our commitment to safeguarding the privacy and security of student data. As our agent, you are recognized as the data processor, while Studee functions as the data controller. Adherence to the applicable data protection legislation of your country, as well as compliance with our Data Protection Policy hosted on our website, is expected.

      2.1.8. Our Ethical Marketing Policy which reflects our commitment to conducting marketing activities with authenticity, honesty, and transparency. We strive to maintain the highest standards in our products and services, respecting our customers' time, and focusing on their needs, along with those of our team members and stakeholders.

  5. Our obligations
  6. We will:

    3.1. provide you with a login to the Studee website where you can find partner universities and their programs that meet your student’s needs and check their eligibility for programs at partner universities;

    3.2. provide you with a method to submit applications to us for assessment prior to submission to partner universities;

    3.3. provide feedback on applications that require changes prior to submission;

    3.4. provide you with reports detailing the status of your applications, Enrolments, commissions, and payments;

    3.5. use reasonable efforts to ensure the accuracy of data provided about partner universities, but we cannot be held responsible for the consequences of inaccurate information; and

  7. Your obligations
  8. You agree to:

    4.1. state that you are a Studee partner and not represent yourself as Studee on your website, in promotional materials as per clause 7 or any other form of communications with students or third parties;

    4.2. liaise with students in a timely manner in order to provide to us any additional information or supporting documents required by partner universities;

    4.3. submit the personal email address for a student when completing an application. We will not contact the student directly except to: request feedback on their experience with you, partner universities, and/or sub-agents, or in the case of termination due to gross misconduct, to inform the student of such;

    4.4. charge students no more than £1,500 in total for the study abroad services you provide. You shall not charge for scholarship application assistance, nor shall you take commission from, or a cut of any scholarship awarded to any student;

    4.5. disclose to us any refund policy you may have for students;

    4.6. pay all money received by students in relation to application fees, tuition fees or any other payment required by partner universities to the relevant partner university, or in the case of fees facilitated by us, to us before any required deadlines. You remain responsible for any monies paid to you by a student, their parent or legal guardian until receipt has been acknowledged by the partner university or us;

    4.7. use the student’s @studee.io email address as provided by us when asked to set up a student account by partner universities, after they have admitted a student or made them an official offer;

    4.8. only provide services you are legally authorized to offer. You must only give visa and/or immigration advice if you have the necessary permission to do so from an organization that has the legal capability to grant visas;

    4.9. not imply you have a direct relationship with or are in any way endorsed by any partner universities;

    4.10. not submit an application for a student directly or via another party to partner universities; this includes all partner universities during the period of this agreement and any student after the Termination Date for whom you have started or completed an application on the Studee website.

    4.11. only make direct contact with partner universities in order to respond to requests for information and/or documents relating to an application.

    4.12. not contact partner universities:

      4.12.1. in order to chase outstanding documents, such as an offer letter, or get updates on the status of an application.

      4.12.2. with questions in relation to an application, including but not limited to, questions relating to partner universities’ application process, admission requirements, facilities or programs offered.

  9. Application ownership
  10. 5.1. Ownership of an application means you get paid commission if you have submitted an application for a student who enrols to a partner university.

    5.2. Only one party can own an application. However, multiple parties may submit applications for a student, provided each application is for a unique university and/or program.

    5.3. You must not attempt to claim ownership of an application if the application has not been submitted by you.

    5.4. You are permitted to submit up to 5 applications per student to programs at partner universities. This clause is subject to change, but you will be given 30 days’ notice if the permitted number of applications changes.

  11. Data protection and data processing
  12. 6.1. You must understand your legal and contractual obligations for managing and reporting privacy and data protection incidents, including reporting timescales, who to report to, and expected actions.

    6.2. You must declare any material security breaches or compromises without delay to us, by email to [email protected], adhering to GDPR timescales.

    6.3. You must ensure you obtain signed personal consent from students and, if they are under 18, consent from their parent or legal guardian, to allow you to share their personal information with us and to authorize you to deal with us on their behalf. You must also promptly advise us of any student that has withdrawn such consent.

    6.4. We will hold all information about you and your students in accordance with the principles set out in GDPR.

  13. Studee platform use restrictions
  14. You will not, and will not permit anyone else to:

    7.1.1. “frame”, “mirror” or otherwise incorporate any part of the Studee Platform or the Content on any website.

    7.1.2. access, monitor or copy any part of the Studee Platform or the Content using any robot, spider, scraper or other automated means or any manual process, for any purpose, without our express written permission;or

    7.1.3. copy, reproduce, modify, distribute, transfer, sell, assign, rent, lease broadcast, perform, publish or license in any form any part of the Studee Platform or the Content for any purpose, including for the purpose of selling such Content or setting up a competing website; or

    7.1.4 create derivative works based on the Studee Platform or the Content, in whole or in part.

  15. Governing law and jurisdiction
  16. 8.1. These Terms of Use, any documents they refer to, and any disputes arising from or in relation to them or any documents they refer to, whether contractual or non-contractual, shall be governed by and construed in accordance with English law.

    8.2. The courts of England and Wales shall have exclusive jurisdiction over any claims or disputes arising from or in relation to these Terms of Use and any documents they refer to.

  17. Copyright, credit and logo
  18. 9.1. The copyright in these Agent Terms of Use is either owned by, or licensed to, us and is protected by copyright laws around the world and copyright protection software. Unless expressly indicated otherwise, all intellectual property rights in this document and elsewhere on our website, including any content on our website, are reserved.
